General Terms and Conditions of Brokerage

Article 1. General provisions

1.1. These General Terms and Conditions (the "Terms") govern the business relationship between PEAK ESTATE d.o.o. as a real estate broker (the "Broker") and the natural or legal person who concludes a written brokerage agreement with the Broker (the "Client").

1.2. The Terms are issued under Article 20 of the Croatian Real Estate Brokerage Act (Zakon o posredovanju u prometu nekretnina, Official Gazette no. 69/26; the "Act"). Matters not governed by the Act or these Terms are governed by the Civil Obligations Act and other regulations of the Republic of Croatia.

1.3. The Terms and the Price List (Annex 1) form an integral part of every brokerage agreement concluded by the Broker. Where a brokerage agreement regulates a matter differently from these Terms, the agreement applies, within the limits permitted by the Act.

1.4. The terms "broker", "agent", "client", "third party" and "brokerage" have the meaning given in Article 4 of the Act. A third party is the person whom the Broker seeks to connect with the Client in order to negotiate a legal transaction concerning a specific property.

Article 2. Types of brokerage

2.1. The Broker acts as broker in:

  • the sale of real estate, where the Client is the seller;
  • the purchase of real estate, where the Client is the buyer.

2.2. The Broker provides brokerage for rental, lease or exchange of real estate only after supplementing the Price List and these Terms for that type of brokerage.

Article 3. The brokerage agreement

3.1. Brokerage is provided exclusively on the basis of a brokerage agreement concluded in writing and for a fixed term. If no term is agreed, the agreement is deemed concluded for 12 months.

3.2. The brokerage agreement states the details of the Broker and the Client, the subject of the brokerage, the type and essential content of the transaction, the amount of the brokerage commission, details of any additional services and costs with the party liable for them, and the Broker's entry number in the Register of Brokers.

3.3. The Price List in force when the agreement is concluded, dated and signed by the Broker and the Client, forms an integral part of the brokerage agreement.

3.4. Exclusive brokerage. The Client may expressly undertake not to engage any other broker for the transaction. When such an agreement is concluded, the Broker will draw the Client's attention to the legal effects of that undertaking. If, during the term of an exclusive agreement, the Client concludes the transaction through another broker, the Client must pay the Broker the agreed commission and reimburse any additional actual costs incurred in the course of the brokerage.

3.5. Sub-brokerage. The Broker may transfer the brokerage agreement to another broker only if this is expressly agreed with the Client. The Client then remains in a contractual relationship exclusively with the Broker, who provides a written list of the brokers to whom the agreement has been transferred.

3.6. The Client is not obliged to enter into negotiations or to conclude a transaction with a third party found by the Broker.

Article 4. Services performed by the Broker

4.1. The Broker acts with enhanced care, in accordance with the rules of the profession and custom, and with the code of ethical conduct for real estate brokers of the Croatian Chamber of Economy.

4.2. When brokering a sale, the Broker in particular:

  • seeks to find a person interested in buying and to connect that person with the Client;
  • informs the Client of the average market price of comparable property;
  • obtains and reviews the documents evidencing ownership or other rights in rem in the property (verification of the status of the property in the land registry and the cadastre);
  • where the subject is land, verifies its designated use under spatial planning regulations;
  • prepares presentation materials and advertises the property in an appropriate manner, in Croatia and abroad;
  • organises and conducts viewings and communicates with interested parties;
  • assists in the negotiations and carries out the preparatory steps for the conclusion of the transaction, including cooperation with lawyers and notaries in preparing the preliminary and final contracts;
  • informs the Client of all circumstances relevant to the intended transaction that are known or ought to be known to the Broker.

4.3. When brokering a purchase, the Broker in particular:

  • seeks to find a property that meets the Client's requirements and to connect the Client with the seller;
  • informs the Client of the average market price of comparable property;
  • obtains and reviews the documents evidencing ownership or other rights in rem in the property and, for land, verifies its designated use;
  • organises and conducts viewings;
  • assists in the negotiations and carries out the preparatory steps for the conclusion of the transaction;
  • informs the Client of all circumstances relevant to the intended transaction that are known or ought to be known to the Broker.

4.4. The Broker protects the Client's personal data and, on the Client's written instruction, keeps information about the property and the transaction confidential as a business secret.

4.5. The Broker allows or refuses viewings in accordance with the Client's interests and its own professional judgment.

4.6. The Broker does not provide legal or tax advice. The Broker is not liable for the accuracy of information and documents supplied by the Client or by third parties, unless it could have detected their inaccuracy by exercising due care, and does not guarantee that the transaction will be concluded.

Article 5. Obligations of the Client

5.1. The Client undertakes to:

  • inform the Broker of all circumstances relevant to the brokerage and provide accurate information about the property, including its description and asking price;
  • present the documents evidencing ownership or another right in rem and, where available, the location, building or use permit, and disclose all registered and unregistered encumbrances;
  • allow the Broker and the third party to view the property;
  • inform the Broker in writing of any changes relating to the transaction, in particular changes of ownership and price;
  • pay the Broker the brokerage commission and, where expressly agreed, reimburse costs exceeding the usual costs of brokerage.

5.2. A Client who wishes to remain anonymous is not obliged to disclose their identity to the third party until the transaction is concluded.

5.3. A Client who does not act in good faith is liable to the Broker for damage and must reimburse all costs incurred, which may not be less than one third of, nor more than, the agreed commission for the transaction.

Article 6. Advertising and viewings

6.1. A property is advertised only after a brokerage agreement has been concluded with its owner. When advertising, the Broker states its company name, the address of its registered office and the addresses of its branch offices.

6.2. The Broker does not make the viewing of an advertised property conditional on the prior signing of a brokerage agreement.

6.3. At a viewing, a viewing confirmation is signed, by which the Broker proves to the Client that the property was shown to the third party. A viewing confirmation is not a brokerage agreement and contains no obligation of the third party to pay a commission.

Article 7. When the Broker has connected the Client with a third party

The Broker is deemed to have connected the Client with a third party if it enabled contact between them for the purpose of concluding the transaction, in particular where it: (a) directly took or directed the Client or the third party to view the property; (b) arranged a meeting or negotiations between them; or (c) gave the Client the name or contact details of the third party, or the exact location of the property.

Article 8. Brokerage commission

8.1. The amount of the commission is agreed in the brokerage agreement, within the limits of the Price List in force (Annex 1). The commission covers the services listed in Article 4, which always include connecting the Client with the third party, verifying the status of the property and the preparatory steps for the conclusion of the transaction.

8.2. The party liable for the commission is exclusively the Client, that is, the person who has concluded a brokerage agreement with the Broker.

8.3. The Broker does not charge a commission to a third party who becomes the buyer, tenant or other party to the transaction and who has not concluded a brokerage agreement with the Broker (Article 29(7) of the Act).

8.4. The Broker becomes entitled to the commission when the contract for which it acted as broker is concluded. The brokerage agreement may provide that the entitlement arises on conclusion of the preliminary contract. The Broker does not request payment of the commission, in part or in full, before that contract or preliminary contract is concluded.

8.5. The commission falls due within the period set in the brokerage agreement and is paid by bank transfer against the Broker's invoice. Amounts in the Price List are stated without value added tax, which is charged in accordance with the applicable regulations.

8.6. The commission is also owed in full where, after the brokerage agreement has ended, the Client concludes a transaction that results from the Broker's activity before the agreement ended, provided that the transaction is concluded within 12 months of the end of the agreement.

8.7. The commission is also owed where the transaction is concluded, instead of by the person whom the Broker connected with the Client, by a person related to that person (a spouse or partner, a relative, or a legal entity in which that person holds an ownership or management interest), and where the parties conclude a transaction other than the one brokered which achieves the same purpose.

8.8. A later withdrawal by the contracting parties from a concluded preliminary or final contract does not affect the Broker's right to the commission.

8.9. The Broker is not entitled to a commission if it personally concludes with the Client the contract that was the subject of the brokerage, or if that contract is concluded by its agent who carried out the brokerage.

Article 9. Acting for both parties

9.1. The Broker may charge a commission to both parties for the same property only if it has concluded a separate brokerage agreement with each of them.

9.2. Where both parties pay a commission, the total amount charged to both may not exceed the maximum commission set in the Price List in force when those agreements were concluded.

9.3. Where it is agreed that only one party pays, that party may be charged at most one half of the maximum commission set in the Price List.

9.4. Before the brokerage agreements are concluded, the Broker informs both parties in writing of the individual commissions and of their total amount.

Article 10. Additional services and costs

10.1. The commission covers all regular brokerage services. The Broker does not charge separately for advertising, presentation materials or viewings.

10.2. Services outside regular brokerage are procured only at the Client's express request and on the basis of a prior written arrangement in the brokerage agreement stating the type of service, the amount of the cost and the party liable. Such services are charged at the actual cost of the external provider, with no mark-up by the Broker:

10.3. The costs of lawyers and notaries, court fees and taxes are not included in the commission and are borne by the party who engaged them or who owes them by law.

Article 11. Term and termination

11.1. The brokerage agreement ends on expiry of its term, if the transaction has not been concluded within that term, by agreement of the parties or by notice of termination from either party.

11.2. Notice must be given in writing. Unless the agreement provides otherwise, the notice period is 15 days from delivery of the notice to the other party.

11.3. After the agreement has ended, the Client must reimburse the Broker for costs which were expressly agreed to be paid separately. Article 8.6 continues to apply after the agreement has ended.

Article 12. Payments and anti-money laundering

12.1. The Broker, its agents and employees do not accept cash, in their own name or in the Broker's name, as a reservation, deposit, advance or payment of the purchase price. All payments are made by bank transfer. Cash payments do not bind the Broker. The Client will inform the Broker without delay if such a payment has been requested or offered.

12.2. The Broker is an obliged entity under the Croatian Anti-Money Laundering and Terrorist Financing Act. Before establishing a business relationship it must identify the Client and verify the Client's identity and, for legal entities, that of the beneficial owner, and collect the prescribed information. If the Client does not provide this information, the Broker may not establish or continue the business relationship.

Article 13. Professional liability insurance

The Broker holds professional liability insurance covering damage it might cause to the Client or to third parties in the course of brokerage, with an insured sum of at least EUR 100,000 per claim and EUR 300,000 for all claims in one insurance year.

Article 14. Data protection

The Broker processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 and its Privacy Policy, published at www.peakestate.hr/privacy/. Data is processed in order to conclude and perform the brokerage agreement and to meet the Broker's legal obligations.

Article 15. Consumer rights

15.1. A Client who is a consumer may submit a written complaint to the Broker's registered office or to info@peakestate.hr. The Broker will reply in writing within 15 days of receipt.

15.2. Where the brokerage agreement was concluded away from the Broker's business premises or at a distance, the consumer may withdraw from the agreement within 14 days of its conclusion, without giving reasons, by a written statement addressed to the Broker. If the consumer expressly requests that the Broker begin providing the service before that period expires, and the transaction is concluded within that period as a result of the Broker's activity, the Broker retains the right to the agreed commission.

15.3. A consumer may initiate alternative dispute resolution proceedings before the competent body in the Republic of Croatia.

Article 16. Governing law, disputes and language

16.1. These Terms and the brokerage agreements are governed by the law of the Republic of Croatia.

16.2. The parties will seek to resolve disputes amicably. Failing that, the court in Split with subject-matter jurisdiction is competent. This does not affect mandatory rules on jurisdiction in consumer disputes.

16.3. The Croatian text is binding. Translations are provided for convenience only.

Article 17. Display, amendments and entry into force

17.1. These Terms are displayed in a visible and accessible place at the Broker's registered office and branch office and are published at www.peakestate.hr, in accordance with Article 20(3) of the Act.

17.2. The Broker may amend the Terms and the Price List. Amendments apply to agreements concluded after they enter into force. Agreements concluded earlier remain subject to the Terms and the Price List in force when they were concluded.

17.3. These Terms enter into force on 1 October 2026 and replace the General Terms and Conditions of 7 July 2026.

Annex 1. Price List of Brokerage Services

This Price List is publicly displayed in accordance with the Real Estate Brokerage Act and forms an integral part of every brokerage agreement that PEAK ESTATE d.o.o. concludes with its clients.

All fees in this Price List are stated without value added tax (VAT) and are increased by VAT in accordance with the applicable regulations.

The amount of the commission is determined by the brokerage agreement, in accordance with this Price List, the General Terms and Conditions and the Real Estate Brokerage Act. The specific amount is set in the individual brokerage agreement, in accordance with this Price List.

I. Brokerage commissions

Brokerage in the sale of real estate. Where the seller is the Broker's Client: the commission is up to 6% of the agreed purchase price.

Brokerage in the purchase of real estate. Where the buyer is the Broker's Client: the commission is up to 6% of the agreed purchase price.

The amounts stated in this section are maximum amounts. The specific commission is set in the individual brokerage agreement and may be lower than the amount stated in this Price List.

II. Services covered by the commission

The commission covers the regular brokerage services the Broker provides during the preparation and completion of the transaction, in particular:

  • finding a potential contracting party and connecting the Client with that party in order to conclude the transaction;
  • assessing the market position of the property and informing the Client about market conditions and comparable prices;
  • preparing presentation materials and advertising the property through appropriate channels in Croatia and abroad;
  • organising and conducting viewings and communicating with interested parties;
  • taking part in negotiations in order to reach terms acceptable to the Client;
  • informing the Client in good time of all circumstances relevant to the conclusion of the transaction;
  • cooperating with legal service providers during the preparation of the preliminary contract, the purchase contract and the land registry entry.

III. Acting for both clients

The Broker may act for both contracting parties only if a separate brokerage agreement has been concluded with each party. The commission may be charged exclusively to a person with whom a brokerage agreement has been concluded.

Where a brokerage agreement for the same property has been concluded with both clients and it is agreed that both pay a commission, the total commission charged to both clients may not exceed 6% of the agreed purchase price, plus VAT. The split between the clients is set in the individual agreements and need not be equal.

Where a brokerage agreement for the same property has been concluded with both clients and it is agreed that only one party pays, that party may be charged at most 3% of the agreed purchase price, plus VAT.

Before the brokerage agreements are concluded, the Broker will inform both parties in writing of the individual commissions and of their total amount.

IV. Additional services

The commission relates exclusively to the regular brokerage services listed in section II. The costs of lawyers, notaries, court fees, taxes, surveying services, translators and other professionals are not included in the commission, unless expressly agreed otherwise.

Članak 1. Opće odredbe

1.1. Ovim Općim uvjetima poslovanja (dalje: Opći uvjeti) uređuje se poslovni odnos između društva PEAK ESTATE d.o.o. kao posrednika u prometu nekretnina (dalje: Posrednik) i fizičke ili pravne osobe koja s Posrednikom sklapa pisani ugovor o posredovanju (dalje: Nalogodavac).

1.2. Opći uvjeti doneseni su na temelju članka 20. Zakona o posredovanju u prometu nekretnina („Narodne novine“, br. 69/26; dalje: Zakon). Na pitanja koja nisu uređena Zakonom i ovim Općim uvjetima primjenjuju se Zakon o obveznim odnosima i drugi propisi Republike Hrvatske.

1.3. Opći uvjeti i Cjenik posredničkih usluga (Prilog 1.) sastavni su dio svakog ugovora o posredovanju koji sklapa Posrednik. Ako je pojedino pitanje ugovorom o posredovanju uređeno drukčije nego ovim Općim uvjetima, primjenjuje se ugovor, u granicama dopuštenima Zakonom.

1.4. Pojmovi „posrednik“, „agent“, „nalogodavac“, „treća osoba“ i „posredovanje“ imaju značenje određeno člankom 4. Zakona. Treća osoba je osoba koju Posrednik nastoji povezati s Nalogodavcem radi pregovora o sklapanju pravnog posla koji se odnosi na određenu nekretninu.

Članak 2. Vrste posredovanja

2.1. Posrednik posreduje pri:

  • prodaji nekretnine, kada je Nalogodavac prodavatelj;
  • kupnji nekretnine, kada je Nalogodavac kupac.

2.2. Posredovanje pri najmu, zakupu ili zamjeni nekretnina Posrednik obavlja samo ako je za tu vrstu posredovanja prethodno dopunio Cjenik i ove Opće uvjete.

Članak 3. Ugovor o posredovanju

3.1. Posredovanje se obavlja isključivo na temelju ugovora o posredovanju sklopljenog u pisanom obliku i na određeno vrijeme. Ako trajanje nije ugovoreno, smatra se da je ugovor sklopljen na 12 mjeseci.

3.2. Ugovor o posredovanju sadrži podatke o Posredniku i Nalogodavcu, predmet posredovanja, vrstu i bitan sadržaj pravnog posla za koji se posreduje, iznos posredničke naknade, podatke o dodatnim uslugama i troškovima s naznakom obveznika plaćanja te registarski broj upisa Posrednika u Registar posrednika.

3.3. Sastavni dio ugovora o posredovanju je Cjenik koji je na snazi u trenutku sklapanja ugovora, s naznačenim datumom, potpisan od Posrednika i Nalogodavca.

3.4. Isključivo posredovanje. Nalogodavac se može izričito obvezati da za posredovani posao neće angažirati drugog posrednika. Posrednik će ga pri sklapanju takvog ugovora upozoriti na pravne učinke te obveze. Ako Nalogodavac za vrijeme trajanja ugovora o isključivom posredovanju sklopi posredovani pravni posao preko drugog posrednika, dužan je Posredniku isplatiti ugovorenu posredničku naknadu i naknaditi moguće dodatne stvarne troškove nastale tijekom posredovanja.

3.5. Potposredovanje. Posrednik može prenijeti ugovor o posredovanju na drugog posrednika samo ako je to izričito ugovoreno s Nalogodavcem. Nalogodavac u tom slučaju ostaje u ugovornom odnosu isključivo s Posrednikom, koji mu dostavlja pisani popis posrednika na koje je ugovor prenesen.

3.6. Nalogodavac nije obvezan započeti pregovore niti sklopiti pravni posao s trećom osobom koju je Posrednik pronašao.

Članak 4. Poslovi koje obavlja Posrednik

4.1. Posrednik postupa s povećanom pažnjom, prema pravilima struke i običajima, te u skladu s općim aktom o etičkom poslovanju posrednika u prometu nekretnina Hrvatske gospodarske komore.

4.2. Pri posredovanju u prodaji Posrednik osobito:

  • nastoji pronaći i dovesti u vezu s Nalogodavcem osobu zainteresiranu za kupnju;
  • upoznaje Nalogodavca s prosječnom tržišnom cijenom slične nekretnine;
  • pribavlja i pregledava isprave kojima se dokazuje vlasništvo ili drugo stvarno pravo na nekretnini (provjera stanja nekretnine u zemljišnoj knjizi i katastru);
  • ako je predmet posredovanja zemljište, provjerava njegovu namjenu prema propisima o prostornom uređenju;
  • izrađuje prezentacijske materijale i oglašava nekretninu na odgovarajući način, u zemlji i inozemstvu;
  • organizira i vodi razgledavanja te komunicira sa zainteresiranim osobama;
  • posreduje u pregovorima i obavlja pripremne radnje za sklapanje pravnog posla, uključujući suradnju s odvjetnicima i javnim bilježnicima pri pripremi predugovora i ugovora;
  • obavještava Nalogodavca o svim okolnostima važnim za namjeravani posao koje su mu poznate ili mu moraju biti poznate.

4.3. Pri posredovanju u kupnji Posrednik osobito:

  • nastoji pronaći nekretninu koja odgovara zahtjevima Nalogodavca i dovesti ga u vezu s prodavateljem;
  • upoznaje Nalogodavca s prosječnom tržišnom cijenom slične nekretnine;
  • pribavlja i pregledava isprave kojima se dokazuje vlasništvo ili drugo stvarno pravo na nekretnini te, kod zemljišta, provjerava njegovu namjenu;
  • organizira i vodi razgledavanja;
  • posreduje u pregovorima i obavlja pripremne radnje za sklapanje pravnog posla;
  • obavještava Nalogodavca o svim okolnostima važnim za namjeravani posao koje su mu poznate ili mu moraju biti poznate.

4.4. Posrednik čuva osobne podatke Nalogodavca te, po pisanom nalogu Nalogodavca, čuva kao poslovnu tajnu podatke o nekretnini i o poslu za koji posreduje.

4.5. Posrednik omogućuje ili uskraćuje razgledavanje nekretnine u skladu s interesima Nalogodavca i vlastitom stručnom procjenom.

4.6. Posrednik ne pruža usluge pravnog ni poreznog savjetovanja. Ne odgovara za točnost podataka i isprava koje su mu predali Nalogodavac ili treće osobe, osim ako je njihovu netočnost uz dužnu pažnju mogao uočiti, i ne jamči da će posredovani pravni posao biti sklopljen.

Članak 5. Obveze Nalogodavca

5.1. Nalogodavac se obvezuje:

  • obavijestiti Posrednika o svim okolnostima važnim za posredovanje i predočiti točne podatke o nekretnini, uključujući njezin opis i traženu cijenu;
  • dati na uvid isprave kojima dokazuje vlasništvo ili drugo stvarno pravo, a ako ih posjeduje, i lokacijsku, građevinsku odnosno uporabnu dozvolu, te upozoriti na sve uknjižene i neuknjižene terete;
  • omogućiti Posredniku i trećoj osobi razgledavanje nekretnine;
  • pisanim putem obavijestiti Posrednika o svim promjenama u vezi s poslom, osobito o promjenama vlasništva i cijene;
  • isplatiti Posredniku posredničku naknadu te, ako je to izričito ugovoreno, naknaditi troškove koji prelaze uobičajene troškove posredovanja.

5.2. Nalogodavac koji želi ostati nepoznat nije obvezan otkriti svoj identitet trećoj osobi do sklapanja pravnog posla.

5.3. Ako Nalogodavac ne postupa u dobroj vjeri, odgovara Posredniku za štetu i dužan je naknaditi sve učinjene troškove, koji ne mogu biti manji od jedne trećine niti veći od ugovorene posredničke naknade za posredovani posao.

Članak 6. Oglašavanje i razgledavanje

6.1. Nekretnina se oglašava tek nakon sklapanja ugovora o posredovanju s njezinim vlasnikom. Pri oglašavanju Posrednik navodi svoju tvrtku, adresu sjedišta i adrese poslovnica.

6.2. Posrednik ne uvjetuje razgledavanje oglašene nekretnine prethodnim potpisivanjem ugovora o posredovanju.

6.3. Pri razgledavanju se potpisuje potvrda o razgledavanju, kojom Posrednik dokazuje Nalogodavcu da je nekretninu pokazao trećoj osobi. Potvrda o razgledavanju nije ugovor o posredovanju i ne sadrži obvezu treće osobe na plaćanje posredničke naknade.

Članak 7. Kada je Posrednik doveo Nalogodavca u vezu s trećom osobom

Smatra se da je Posrednik doveo Nalogodavca u vezu s trećom osobom ako je omogućio uspostavljanje kontakta između njih radi sklapanja posredovanog posla, a osobito ako je: (a) neposredno odveo ili uputio Nalogodavca ili treću osobu na razgledavanje nekretnine; (b) organizirao susret ili pregovore između njih; ili (c) Nalogodavcu priopćio ime ili podatke za kontakt treće osobe, odnosno točnu lokaciju nekretnine.

Članak 8. Posrednička naknada

8.1. Visina posredničke naknade ugovara se ugovorom o posredovanju, u granicama važećeg Cjenika (Prilog 1.). Naknada obuhvaća poslove iz članka 4. ovih Općih uvjeta, koji obvezno uključuju povezivanje Nalogodavca i treće osobe, provjeru stanja nekretnine i pripremne radnje za sklapanje pravnog posla.

8.2. Obveznik plaćanja posredničke naknade je isključivo Nalogodavac, to jest osoba koja je s Posrednikom sklopila ugovor o posredovanju.

8.3. Posrednik ne naplaćuje posredničku naknadu od treće osobe koja u pravnom poslu stječe ulogu kupca, najmoprimca ili drugu ulogu, a koja s Posrednikom nije sklopila ugovor o posredovanju (članak 29. stavak 7. Zakona).

8.4. Posrednik stječe pravo na posredničku naknadu sklapanjem ugovora za koji je posredovao. Ugovorom o posredovanju može se ugovoriti da pravo na naknadu nastaje već sklapanjem predugovora. Posrednik ne zahtijeva plaćanje naknade, djelomično ni u cijelosti, prije sklapanja tog ugovora odnosno predugovora.

8.5. Naknada dospijeva u roku određenom ugovorom o posredovanju i plaća se bezgotovinski, na temelju računa Posrednika. Iznosi u Cjeniku iskazani su bez poreza na dodanu vrijednost, koji se obračunava prema važećim propisima.

8.6. Naknada se duguje u cijelosti i kada Nalogodavac nakon prestanka ugovora o posredovanju sklopi pravni posao koji je posljedica djelovanja Posrednika prije prestanka ugovora, ako je taj posao sklopljen u roku od 12 mjeseci od prestanka ugovora.

8.7. Naknada se duguje i kada pravni posao umjesto osobe koju je Posrednik doveo u vezu s Nalogodavcem sklopi s njom povezana osoba (bračni ili izvanbračni drug, srodnik ili pravna osoba u kojoj ta osoba ima vlasnički ili upravljački udio), kao i kada strane sklope pravni posao različit od posredovanog kojim se postiže ista svrha.

8.8. Naknadno odustajanje ugovornih strana od sklopljenog predugovora ili ugovora ne utječe na pravo Posrednika na naknadu.

8.9. Posrednik nema pravo na naknadu ako s Nalogodavcem osobno sklopi ugovor koji je bio predmet posredovanja, ili ako takav ugovor sklopi njegov agent koji je obavljao poslove posredovanja.

Članak 9. Posredovanje za obje strane

9.1. Posrednik može za istu nekretninu naplatiti posredničku naknadu od obje strane samo ako je sa svakom od njih sklopio zaseban ugovor o posredovanju.

9.2. Ako naknadu plaćaju obje strane, ukupan iznos naplaćen od obje strane ne smije prelaziti najviši iznos posredničke naknade određen Cjenikom važećim u vrijeme sklapanja tih ugovora.

9.3. Ako je ugovoreno da naknadu plaća samo jedna strana, toj se strani može naplatiti najviše polovica najvišeg iznosa posredničke naknade određenog Cjenikom.

9.4. Prije sklapanja ugovora o posredovanju Posrednik obje strane pisanim putem upoznaje s visinom pojedinačnih naknada i s njihovim ukupnim iznosom.

Članak 10. Dodatne usluge i troškovi

10.1. Posrednička naknada pokriva sve redovne poslove posredovanja. Posrednik ne naplaćuje posebno troškove oglašavanja, izrade prezentacijskih materijala ni razgledavanja.

10.2. Usluge koje ne ulaze u redovno posredovanje Posrednik pribavlja samo na izričit zahtjev Nalogodavca i na temelju prethodnog pisanog dogovora u ugovoru o posredovanju, u kojem se navode vrsta usluge, visina troška i obveznik plaćanja. Takve se usluge naplaćuju u visini stvarnog troška vanjskog pružatelja, bez dodatka Posrednika:

10.3. Troškovi odvjetnika, javnih bilježnika, sudskih pristojbi i poreza nisu uključeni u posredničku naknadu i snosi ih strana koja ih je naručila odnosno koja ih duguje po zakonu.

Članak 11. Trajanje i prestanak ugovora

11.1. Ugovor o posredovanju prestaje istekom roka na koji je sklopljen, ako u tom roku nije sklopljen posredovani pravni posao, sporazumom strana ili otkazom bilo koje strane.

11.2. Otkaz se daje u pisanom obliku. Ako ugovorom nije određeno drukčije, otkazni rok iznosi 15 dana od dostave otkaza drugoj strani.

11.3. Nakon prestanka ugovora Nalogodavac je dužan naknaditi Posredniku troškove za koje je izričito ugovoreno da ih posebno plaća. Članak 8.6. primjenjuje se i nakon prestanka ugovora.

Članak 12. Plaćanja i sprječavanje pranja novca

12.1. Posrednik, njegovi agenti i zaposlenici ne primaju gotovinu, ni u svoje ime ni u ime Posrednika, u svrhu rezervacije, kapare, predujma ili plaćanja kupoprodajne cijene. Sva se plaćanja obavljaju bezgotovinski. Gotovinska plaćanja ne obvezuju Posrednika. Nalogodavac će bez odgode obavijestiti Posrednika ako mu je takvo plaćanje zatraženo ili ponuđeno.

12.2. Posrednik je obveznik mjera prema Zakonu o sprječavanju pranja novca i financiranja terorizma. Prije uspostave poslovnog odnosa dužan je utvrditi i provjeriti identitet Nalogodavca i, kod pravnih osoba, stvarnog vlasnika te prikupiti propisane podatke. Ako Nalogodavac te podatke ne dostavi, Posrednik ne smije uspostaviti ili nastaviti poslovni odnos.

Članak 13. Osiguranje od odgovornosti

Posrednik ima sklopljenu policu osiguranja od profesionalne odgovornosti za štetu koju bi u obavljanju posredovanja mogao prouzročiti Nalogodavcu ili trećim osobama, s osiguranim iznosom od najmanje 100.000,00 EUR po štetnom događaju odnosno 300.000,00 EUR za sve odštetne zahtjeve u jednoj osiguravateljskoj godini.

Članak 14. Zaštita osobnih podataka

Posrednik obrađuje osobne podatke u skladu s Općom uredbom o zaštiti podataka (EU) 2016/679 i svojom Politikom privatnosti, objavljenom na www.peakestate.hr/privacy/. Podaci se obrađuju radi sklapanja i izvršenja ugovora o posredovanju i ispunjenja zakonskih obveza Posrednika.

Članak 15. Prava potrošača

15.1. Nalogodavac koji je potrošač može podnijeti pisani prigovor na adresu sjedišta Posrednika ili na info@peakestate.hr. Posrednik će na prigovor odgovoriti u pisanom obliku u roku od 15 dana od primitka.

15.2. Ako je ugovor o posredovanju sklopljen izvan poslovnih prostorija Posrednika ili na daljinu, potrošač ima pravo jednostrano raskinuti ugovor u roku od 14 dana od sklapanja, bez navođenja razloga, pisanom izjavom upućenom Posredniku. Ako potrošač izričito zatraži da Posrednik započne s pružanjem usluge prije isteka tog roka, a pravni posao bude sklopljen u tom roku kao posljedica djelovanja Posrednika, Posrednik zadržava pravo na ugovorenu naknadu.

15.3. Potrošač može pokrenuti postupak alternativnog rješavanja potrošačkih sporova pred nadležnim tijelom u Republici Hrvatskoj.

Članak 16. Mjerodavno pravo, sporovi i jezik

16.1. Na ove Opće uvjete i na ugovore o posredovanju primjenjuje se pravo Republike Hrvatske.

16.2. Strane će sporove nastojati riješiti sporazumno. Ako to nije moguće, nadležan je stvarno nadležni sud u Splitu. Time se ne dira u prisilne propise o nadležnosti u potrošačkim sporovima.

16.3. Mjerodavan je tekst na hrvatskom jeziku. Prijevodi služe samo radi lakšeg razumijevanja.

Članak 17. Isticanje, izmjene i stupanje na snagu

17.1. Ovi Opći uvjeti istaknuti su na vidljivom i pristupačnom mjestu u sjedištu i poslovnici Posrednika te objavljeni na www.peakestate.hr, u skladu s člankom 20. stavkom 3. Zakona.

17.2. Posrednik može izmijeniti Opće uvjete i Cjenik. Izmjene se primjenjuju na ugovore sklopljene nakon njihova stupanja na snagu. Na ranije sklopljene ugovore primjenjuju se Opći uvjeti i Cjenik koji su vrijedili u trenutku njihova sklapanja.

17.3. Ovi Opći uvjeti stupaju na snagu 1. listopada 2026. i zamjenjuju Opće uvjete poslovanja od 7. srpnja 2026.

Prilog 1. Cjenik posredničkih usluga

Ovaj Cjenik javno je istaknut sukladno Zakonu o posredovanju u prometu nekretnina i sastavni je dio svakog Ugovora o posredovanju koji PEAK ESTATE d.o.o. sklapa s nalogodavcima.

Sve naknade navedene u ovom Cjeniku iskazane su bez poreza na dodanu vrijednost (PDV) te se uvećavaju za PDV u skladu s važećim propisima.

Visina posredničke naknade određuje se Ugovorom o posredovanju, u skladu s ovim Cjenikom, Općim uvjetima poslovanja i Zakonom o posredovanju u prometu nekretnina. Konkretna visina posredničke naknade utvrđuje se pojedinačnim Ugovorom o posredovanju, u skladu s ovim Cjenikom.

I. Posredničke naknade

Posredovanje pri prodaji nekretnine. Ako je prodavatelj Nalogodavac Posrednika: posrednička naknada iznosi do 6% od ugovorene kupoprodajne cijene.

Posredovanje pri kupnji nekretnine. Ako je kupac Nalogodavac Posrednika: posrednička naknada iznosi do 6% od ugovorene kupoprodajne cijene.

Iznosi navedeni u ovoj točki predstavljaju najviše iznose posredničke naknade. Konkretna visina naknade utvrđuje se pojedinačnim Ugovorom o posredovanju i može biti niža od iznosa navedenog u ovom Cjeniku.

II. Usluge obuhvaćene posredničkom naknadom

Posrednička naknada obuhvaća redovne usluge posredovanja koje Posrednik pruža tijekom pripreme i realizacije pravnog posla, osobito:

  • pronalazak i povezivanje Nalogodavca s potencijalnom ugovornom stranom radi sklapanja pravnog posla;
  • procjenu tržišne pozicije nekretnine i informiranje Nalogodavca o tržišnim okolnostima i usporedivim cijenama;
  • izradu prezentacijskih materijala te oglašavanje nekretnine putem odgovarajućih kanala u zemlji i inozemstvu;
  • organizaciju i vođenje razgleda nekretnine te komunikaciju sa zainteresiranim stranama;
  • sudjelovanje u pregovorima radi postizanja uvjeta prihvatljivih za Nalogodavca;
  • pravodobno informiranje Nalogodavca o svim okolnostima važnim za sklapanje pravnog posla;
  • suradnju s pružateljima pravne pomoći tijekom pripreme Predugovora, Ugovora o kupoprodaji i postupka uknjižbe.

III. Posredovanje za oba nalogodavca

Posrednik može posredovati za obje ugovorne strane samo ako je sa svakom stranom sklopljen zaseban Ugovor o posredovanju. Posrednička naknada može se naplatiti isključivo od osobe s kojom je sklopljen Ugovor o posredovanju.

Ako je Ugovor o posredovanju za istu nekretninu sklopljen s oba nalogodavca i ugovoreno je da posredničku naknadu plaćaju obje strane, ukupan iznos posredničke naknade naplaćen od obaju nalogodavaca ne može prijeći 6% ugovorene kupoprodajne cijene, uvećano za PDV. Raspodjela tog iznosa između pojedinih nalogodavaca utvrđuje se pojedinačnim ugovorima i ne mora biti jednaka.

Ako je Ugovor o posredovanju za istu nekretninu sklopljen s oba nalogodavca, a ugovoreno je da posredničku naknadu plaća samo jedna ugovorna strana, toj se strani može naplatiti najviše 3% ugovorene kupoprodajne cijene, uvećano za PDV.

Prije sklapanja Ugovora o posredovanju Posrednik će obje ugovorne strane pisanim putem upoznati s visinom pojedinačnih posredničkih naknada i s njihovim ukupnim iznosom.

IV. Dodatne usluge

Posrednička naknada odnosi se isključivo na redovne usluge posredovanja navedene u točki II. Troškovi odvjetnika, javnih bilježnika, sudskih pristojbi, poreza, geodetskih usluga, prevoditelja i drugih stručnih osoba nisu uključeni u posredničku naknadu, osim ako nije drukčije izričito ugovoreno.
